These Terms of Service ("Terms") govern your use of the Paravey website at paravey.com and the services provided by Paravey ("we," "us," or "our"). By accessing our website or engaging our services, you agree to these Terms.
Our Services
Paravey provides IT consulting and development services including web development, e-commerce solutions, AI integration, UI/UX design, SEO, cloud infrastructure, and related technology services. Specific deliverables, timelines, and costs for your project will be defined in a separate project agreement or statement of work.
Project Agreements
Individual projects are governed by a separate project agreement or statement of work that outlines scope, deliverables, timeline, payment terms, and other project-specific conditions. In case of conflict between these Terms and a project agreement, the project agreement takes precedence for that specific engagement.
Intellectual Property
Our Website
All content on this website — including text, graphics, logos, icons, images, and software — is the property of Paravey or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without written permission.
Project Work
Ownership of work product (code, designs, content) created during a project engagement will be defined in the project agreement. Unless otherwise specified, you will receive full ownership of custom code and designs created specifically for your project upon final payment. We retain the right to use general knowledge, techniques, and non-proprietary tools developed during the project.
Payment Terms
- Payment terms, including amounts, milestones, and methods, are defined in each project agreement.
- Invoices are due within 14 days of issuance unless otherwise agreed in writing.
- Late payments may incur a fee of 1.5% per month or the maximum allowed by law, whichever is less.
- We reserve the right to pause work on a project if payment is overdue by more than 30 days.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project engagement. This includes business plans, technical specifications, pricing, and any information marked as confidential. This obligation survives the termination of any project agreement.
Limitation of Liability
To the maximum extent permitted by law, Paravey shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.
Warranties and Disclaimers
Our website and its content are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the accuracy, completeness, or reliability of any content on our website. Specific warranties for project work (such as bug-fix periods) will be defined in your project agreement.
Termination
Either party may terminate a project engagement as outlined in the relevant project agreement. We reserve the right to refuse service to anyone for any reason. Upon termination, you remain responsible for payment of all work completed up to the termination date.
Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services will first be addressed through good-faith negotiation between the parties.
Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by the "Last updated" date at the top of this page. Continued use of our website after changes are posted constitutes acceptance of the updated Terms.
